RE: ONE BBSCON Show not longer exists                                        
                                                                             
We feel we have been illegally scammed into your business and contract       
and we are demanding a full refund for the San Francisco 1996 show booth     
holding.                                                                     
                                                                             
First, our contract says ONE BBSCON, not ONE ISPCON.  That in itself         
makes this contract NULL and VOID.                                           
                                                                             
Second, this conference has been questionable since day one with the San     
Francisco/California trade union laws as to whether show vendors would       
will be able to sell products on the show floor.                             
                                                                             
Third, the very fact many other major BBS vendors have pulled out makes      
our presence completely useless at the show.  Companies such as              
Galaticomm, Clark Development, Mustang Software, 3 major vendors have        
pulled out, with other major organizations such as deltaComm, US             
Robotics, and InterMail have all indicated they won't be attending.          
                                                                             
We see this as a failure on your part to keep or bring major vendors         
related to the BBS industry, not the INTERNET industry.  The very fact       
that 3 of the top vendors that pulled out are or were board of directors     
of the show (Clark Development, Galacticomm and Mustang), tell us            
something is not right when your own members of the board do not have        
confidence in the show (or they know something the rest of us don't          
know).                                                                       
                                                                             
Fourth, when Mr. Holly, your marketing representative, knowing full well     
the critical effect a major vendor pulling out would have on us,             
contacted us in December 1995 to inform us of Mustang's decision to pull     
out, we wanted to pull out then but wanted to confirm this with Mustang      
software. After I called Jim Harrer (President of Mustang) to confirm it     
with him, I decided right then to pull out and settle with a $100            
cancellation fee before Dec 31, 1995 as shown in your contract (section      
8).                                                                          
                                                                             
However, Mr Holly told us to "hold and wait" to see what happens. Maybe      
"Mustang Software, Clark Development, Galacticomm will change their          
minds". I asked him personally if we will be penalized if we "waited".       
He said "Given the circumstances, no". In addition, Mr Holly extended        
any final payment we would have had to make at this point as well.  So       
we feel it was your organization's neglect and improper business             
practice to keep us in an indecisive state.                                  
                                                                             
Fifth, when we finally learned ONE BBSCON was renamed to ONE IPSCON          
through the electronic forums we knew the overall business strategic         
direction was now clear and would explain why so many BBS vendors have       
pulled out.  Your organization never bothered to call us and inform us       
of this decision knowing full well, the drastic effect it will have on       
your BBS oriented vendor.                                                    
                                                                             
ONE BBSCON, now ONE IPSCON, is no longer a BBS trade show which was          
originally marketed in Atlanta and Tampa the past two years. One BBSCON      
attracted BBS operators.  ONE IPSCON will attract Internet Operators. It     
was a no brainer at this point that ONE Inc did not hold up to their end     
of the contract that we signed which is clearly based on having a BBS        
focus and having major BBS vendors at the show.  The new focus is clear.     
This is not a BBS show. It is a INTERNET show.                               
                                                                             
The ONE BBSCON contract we signed is therefore, NULL and VOID.               
                                                                             
Hence, we are demanding that our entire $1000 booth holding fee be           
submitted to us ASAP.  We do not accept your $500 penalty (Section 8) of     
our initial $1000 booth holding fee given to you in September 1995.  We      
had all the intention of attending a San Franscisco BBS show in August       
1996, one with a BBS industry focus and with major BBS vendors at the        
show. Since neither is there the ONE BBSCON "concept" no longer exist        
and hence, your ONE BBSCON contract is null and void. Please send our        
full refund as soon as possible.                                             
                                                                             
Please do not force us to pursue legal measures on this matter. It is        
not in the best interest of any party to be wasting time and money on        
this.                                                                        
                                                                             
We are including a copy of this correspondence to the Colorado and           
California State Attorneys to report this matter and provide an example      
of your business practice for their future reference.  We are very           
confident we are not the only vendors who believe they have been put         
into this precarious position and has lost money because of ONE Inc's        
breach of contract. We have been scammed. We are also sending a copy to      
various industry trade journals such as PC Week, InfoWorld, PC World,        
etc and will be posting your business practice on various electronic         
mail forums and Web Sites.
